The Closers Blueprint

GENERAL

This website (the "Site") is owned and operated by The Closers Blueprint, a trading name of Malone Marketing LLC. Malone Marketing LLC is the parent company of The Closers Blueprint and may also conduct business under the name The Closers Blueprint. References to "we," "our," or "us" in these Terms include both Malone Marketing LLC and its brands, including The Closers Blueprint.

By using the Site, you agree to be bound by these Terms of Service and to use the Site in accordance with these Terms of Service, our Privacy Policy, and any additional terms and conditions that may apply to specific sections of the Site or to products and services available through the Site or from The Closers Blueprint. Accessing the Site, in any manner, whether automated or otherwise, constitutes use of the Site and your agreement to be bound by these Terms of Service.

We reserve the right to change these Terms of Service or to impose new conditions on use of the Site, from time to time, in which case we will post the revised Terms of Service on this website. By continuing to use the Site after we post any such changes, you accept the Terms of Service, as modified.

OUR LIMITED LICENSE TO YOU

This Site and all materials available on the Site - including but not limited to the 12-Month AI Sales Mastermind program, its curriculum, frameworks, scripts, recordings, templates, community content, and any future The Closers Blueprint products, programs, softwares, or services (collectively, the "Programs") - are the property of us and/or our affiliates or licensors, and are protected by copyright, trademark, and other intellectual property laws. The Site and Programs are provided solely for your personal, non-commercial use. You may not use the Site, the Programs, or any materials available through them in a manner that constitutes an infringement of our rights or that has not been authorized by us. Unless explicitly authorized in these Terms of Service or by the owner of the materials, you may not modify, copy, reproduce, republish, upload, post, transmit, translate, sell, resell, create derivative works from, exploit, or distribute in any manner or medium (including by email, cloud storage, screen-recording, or other electronic means) any material from the Site or the Programs. You may, however, download and/or print materials expressly designated as downloadable for your own personal, non-commercial use, provided that you keep intact all copyright and other proprietary notices.

YOUR LICENSE TO US

By posting or submitting any material (including, without limitation, comments, testimonials, case studies, social media posts, mastermind community posts, photos, and videos) to us via the Site, internet groups, social media venues, or to any of our staff via email, text, or otherwise, you represent: (i) that you are the owner of the material, or are making your posting or submission with the express consent of the owner of the material; and (ii) that you are eighteen (18) years of age or older, or the age of majority in your jurisdiction, whichever is greater.

By submitting, emailing, texting, delivering, or posting any material, you grant us, and anyone authorized by us, a royalty-free, perpetual, irrevocable, non-exclusive, worldwide license to use, copy, modify, transmit, exploit, create derivative works from, distribute, and/or publicly perform or display such material, in whole or in part, in any manner or medium, now known or hereafter developed, for marketing, educational, and business purposes related to The Closers Blueprint.

This includes the right to use testimonials, results, and success stories in our promotional materials. In connection with the exercise of such rights, you grant us, and anyone authorized by us, the right to identify you as the author of any such postings or submissions by name, email address, or screen name, as we deem appropriate, unless you request otherwise in writing.

You acknowledge and agree that any contributions originally created by you for us shall be deemed a "work made for hire" where the work performed falls within the definition of a work made for hire under Section 101 of the United States Copyright Law, as amended. As such, the copyrights in those works shall belong to The Closers Blueprint from their creation. To the extent any such contribution is not deemed a "work made for hire," you hereby irrevocably assign, convey, and transfer to The Closers Blueprint all proprietary rights, including all copyrights and trademarks, in and to such material, without additional compensation.

You acknowledge that The Closers Blueprint has the right, but not the obligation, to use and display any postings or contributions of any kind, and may elect to cease such use and display at any time for any reason.

Limitations on Linking and Framing.

You may establish a hypertext link to the Site so long as the link does not state or imply any sponsorship of your site by us or by the Site. You may not, without our prior written permission, frame or inline link any content of the Site, or incorporate into another website or service any of our material, content, or intellectual property.

DISCLAIMERS

Throughout the Site, we may provide links and pointers to internet sites maintained by third parties. Our linking to such third-party sites does not imply an endorsement or sponsorship of such sites, or the information, products, or services offered on or through them. Neither we nor our affiliates operate or control any information, products, or services that third parties may provide on or through the Site or through linked websites.

Any opinions, advice, statements, services, offers, or other information or content expressed or made available by third parties, including guest coaches, instructors, or contributors within the Programs, are those of the respective authors and not The Closers Blueprint. The Closers Blueprint neither endorses nor is responsible for the accuracy or reliability of any opinion, advice, or statement made by anyone other than an authorized The Closers Blueprint representative acting in their official capacity.

THE INFORMATION, PRODUCTS, AND SERVICES OFFERED ON OR THROUGH THE SITE AND BY THE CLOSERS BLUEPRINT AND ANY THIRD-PARTY SITES ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SITE, THE PROGRAMS, OR ANY AI TOOLS, TEMPLATES, OR FUNCTIONS PROVIDED WITHIN THEM WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY PART OF THIS SITE OR ITS SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE DO NOT WARRANT OR MAKE REPRESENTATIONS REGARDING THE USE OR RESULTS OF THE USE OF THE SITE, THE PROGRAMS, OR ANY MATERIALS PROVIDED, IN TERMS OF THEIR CORRECTNESS, ACCURACY, TIMELINESS, RELIABILITY, OR OTHERWISE.

Sales results depend on individual effort, market conditions, and factors outside our control, and past results of any member are not a guarantee of your future results.

You agree at all times to defend, indemnify, and hold harmless The Closers Blueprint, Malone Marketing LLC, their affiliates, successors, transferees, assignees, and licensees, and their respective agents, associates, officers, directors, members, and employees, from and against any and all claims, causes of action, damages, liabilities, costs, and expenses, including legal fees, arising out of or related to your breach of any obligation, warranty, representation, or covenant set forth herein.

ONLINE COMMERCE

Certain sections of the Site may allow you to purchase products and services online, including the 12-Month AI Sales Mastermind and future The Closers Blueprint offerings, some of which may be provided in part by third parties (such as payment processors, guest experts, or software tools). We are not responsible for the quality, accuracy, timeliness, reliability, or any other aspect of third-party products or services made available through the Site. If you make a purchase through the Site, information you provide as part of the transaction - such as payment details and contact information - may be collected by both the relevant payment processor and us. A merchant or processor may have privacy and data collection practices different from ours, and we take no responsibility for those independent policies.

Your participation, correspondence, or business dealings with any third party found on or through our Site are solely between you and such third party. The Closers Blueprint is not responsible or liable for any loss, damage, or other matter arising from such dealings.

You agree to be financially responsible for all purchases made by you or someone acting on your behalf through the Site. You agree to use the Site and purchase Programs for legitimate, non-commercial, personal-use purposes only, and not for speculative, false, or fraudulent purposes.

Your purchase and enrollment in the 12-Month AI Sales Mastermind, or any other The Closers Blueprint Program, is for your personal use only. Sharing your login credentials, course access, or program materials with any other individual or organization is not permitted, is considered unauthorized and infringing use of our copyrighted material, and may result in immediate termination of access without refund, and may subject the violator to further liability. If payment for a Program is declined, our system may automatically suspend access to Program materials. We will make reasonable efforts to contact you to resolve any billing issue, and access will be restored once the issue is resolved. Once you have received initial access to a Program or its private community/portal, no refunds will be issued except as expressly stated in the applicable Program's specific refund terms provided at the time of purchase.

INTERACTIVE FEATURES

This Site and the Programs may include mastermind community spaces, forums, chat groups, live calls, and email or messaging features, which allow real-time interaction between members and staff. Responsibility for what is posted lies with each user - you alone are responsible for the material you post or send. We do not control the messages, information, or files that you or other members may provide through the Site or community spaces.

It is a condition of your use of the Site and Programs that you do not:

- Restrict or inhibit any other member from using and enjoying the Site or the mastermind community.

- Use the Site to impersonate any person or entity, or misrepresent your affiliation with a person or entity.

- Interfere with or disrupt any servers or networks used to provide the Site or its features.

- Use the Site to instigate or encourage others to commit illegal activity or cause injury or property damage.

- Gain unauthorized access to the Site, any account, computer system, or network connected to the Site.

- Attempt to obtain materials or information through means not intentionally made available through the Site.

- Post or transmit any unlawful, threatening, abusive, defamatory, obscene, vulgar, or indecent content.

- Post or transmit content that infringes the rights of others, including copyright, trademark, or privacy rights.

- Post or transmit any material containing a virus or other harmful component.

- Use the Site or the mastermind community to advertise, solicit, or sell competing products or services without our express written approval.

- Gather email addresses or other personal information posted by other members for marketing purposes.

Any member failing to comply with these Terms may be expelled from, and refused continued access to, the mastermind community, message boards, or other program spaces, at our discretion and without refund. The Closers Blueprint or its designated moderators may remove or alter any member-created content at any time for any reason.

Under no circumstances will we, our affiliates, suppliers, or agents be liable for any loss or damage caused by your reliance on information obtained through Program forums, community spaces, or live calls. The opinions expressed by members and guest contributors are solely their own and do not reflect the opinions of The Closers Blueprint.

The Closers Blueprint has no obligation to monitor content or postings in community spaces, but reserves the absolute right to do so at our sole discretion, and to alter, edit, refuse to post, or remove any content for any reason.

We include access to a private mastermind community as part of the AI Sales Mastermind and may do so for future Programs. Our goal is for that community to be genuinely valuable to every member. We therefore reserve the right to remove any member from the community at any time, at our discretion, for conduct that we determine is not in keeping with the spirit or purpose of the group.

REGISTRATION

To access certain features of the Site or a Program, we may ask you to provide demographic and contact information, such as your name, email address, business details, and country. You agree to provide true, accurate, current, and complete information as prompted. If we have reasonable grounds to suspect such information is untrue, inaccurate, or incomplete, we have the right to suspend or terminate your account and access to the Site or any Program. Our use of personally identifiable information is governed by our Privacy Policy.

PASSWORDS

To access certain features of the Site or Programs, you will need a username and password. You are responsible for maintaining the confidentiality of your password and account, and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account or any breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.

LIMITATION OF LIABILITY

UNDER NO CIRCUMSTANCES, INCLUDING BUT NOT LIMITED TO NEGLIGENCE, SHALL WE, OUR SUBSIDIARY AND PARENT COMPANIES, OR OUR AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES RESULTING FROM THE USE OF, OR THE INABILITY TO USE, THE SITE OR ANY PROGRAM - INCLUDING OUR COACHING, MESSAGING, COMMUNITY CONTENT, EMAILS, AI TOOLS, TEMPLATES, RECORDINGS, OR OTHER MATERIALS - EVEN IF WE ARE ADVISED BEFOREHAND OF THE POSSIBILITY OF SUCH DAMAGES. THE CLOSERS BLUEPRINT IS NOT A LICENSED FINANCIAL, INVESTMENT, TAX, OR LEGAL ADVISORY SERVICE, AND DOES NOT PROVIDE PERSONALIZED FINANCIAL, TAX, LEGAL, OR INVESTMENT ADVICE.

WE EXIST FOR EDUCATIONAL AND TRAINING PURPOSES ONLY. NONE OF THE INFORMATION WE PROVIDE IS INTENDED AS FINANCIAL, TAX, ACCOUNTING, OR LEGAL ADVICE.

TERMINATION

We may cancel or terminate your right to use the Site or any Program at any time, with or without notice, including for violation of these Terms. Upon cancellation or termination, you are no longer authorized to access the affected part of the Site or Program. The restrictions on downloaded material, and the disclaimers and limitations of liability in these Terms, shall survive termination.

REFUND POLICY

Your purchase of a Program, product, service, or event ticket may or may not include a refund option. Each specific Program - including the 12-Month AI Sales Mastermind and any future The Closers Blueprint offering - will specify its own refund terms at the point of sale.

Unless otherwise specified in writing at the time of purchase, all digital products, downloads, recordings, community access, and coaching Programs sold by The Closers Blueprint are non-refundable.

GOVERNING LAW & DISPUTES

These Terms of Service, and any dispute arising out of or relating to the Site, any Program, or your use of either, shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of laws principles.

You agree that any legal action or proceeding arising out of or relating to these Terms, the Site, or any Program shall be brought exclusively in the state or federal courts located in Colorado, and you consent to the personal jurisdiction of, and venue in, such courts, and waive any objection based on inconvenient forum.

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms shall remain in full force and effect.
